Guest OS loses network connectivity.

Kooky stuff. We have an Exchange 2007 server running as a guest on a Win2003 x64 server running VMware server 1.0.4 build-56528. Almost daily, and typically in the morning, the Exchange server will lose network connectivity. You can't ping it from any client. The host server has network connectivity and responds though. Reboot the guest OS, and it comes back up just fine w/ network connectivity. This is almost a daily affair and has become a real annoyance. This client needs a solid virtual server platform and we're considering ESX Enterprise vs. MS hyper-v w/ SCVMM. I'm leaning towards VMware, but I think the client is going to lean the other way, considering the issues we've had.

Anyhoo, I can't find anything on the host event logs that identify any issues. The only thing I can find is in the log file this entry about time the guest poops out:

Mar 28 09:09:46: mks| SOCKET 2 new update req with non-empty pending: logical error on server/client?

Mar 28 09:09:46: mks| SOCKET 1 new update req with non-empty pending: logical error on server/client?

There aren't any backups or any network heavy jobs running when it loses connectivity, and RAM/CPU look normal.

Any ideas?
