Twice now, one of my VM's has stopped responding

VMware 1.05 build 80187

Backup Exec 11d AOFO

Host OS - Windows 2003 64-bit, 16gb RAM, 2x160gb SAS RAID1

VM's:

   C: - (1) Windows 2003 std - 120gb disk, 1 file

   D: - (3) Windows 2003 std - < 20gb disks each, all disks single file on host

Error in VM console:

"Operation on file 'c:\vms\server_2003std\Server_2003std.vmdk' failed (The process cannot access the file because another process has locked a portion of the file)."

I hit retry and the VM starts responding again.

Vm log:

May 22 00:10:04: vmx| AIOWIN32: 'c:\vms\server_2003std\Server_2003std.vmdk' : Failed to write: The process cannot access the file because another process has locked a portion of the file (33).

May 22 00:10:04: vmx| VMXAIOMGR: Retry on write "c:\vms\server_2003std\Server_2003std.vmdk" : The process cannot access the file because another process has locked a portion of the file.

May 22 00:10:04: vmx| VMXAIOMGR: system : err=8450 errCode=33 freeSpace=16531349504

In Backup Exec, the job is configured to use AOFO and back up only the VM's.  The job finishes with exceptions, saying "not enough quiet time for physical volumes".

Help?!?!
